1. Bespoke Digital Platforms & Custom Web Development

Our web systems (custom-engineered Next.js, React, and e-commerce architectures) are built to strict milestones defined within individual Statements of Work (SOW):

Source Code & IP Transfer: All source code, database structures, and platform designs remain the intellectual property of GREEN LOGIC STUDIO LTD until all milestones have been completed and final invoice payment is settled in full. Upon full settlement, copyright ownership and complete commercial usage licenses of the bespoke source code transfer entirely to the client.

SEO & Performance Disclaimers: While we execute comprehensive SEO performance engineering and analytics-driven optimisation, search engine algorithms remain under third-party control. GREEN LOGIC STUDIO LTD cannot guarantee specific keyword ranking positions or immediate traffic indexes, though we design all applications under elite SEO best practices.

2. Strategic Content Orchestration & Intellectual Property

Our creative studio produces bespoke digital assets, including cinematic video edits, motion graphics, and graphic design assets (e.g. YouTube thumbnails, logos, and typography frameworks):

Licensing & Asset Use: Custom-designed visual systems and cinematic assets are licensed exclusively to the client upon final payment. Raw project files, uncompiled motion render logs, and proprietary design files remain the property of GREEN LOGIC STUDIO LTD unless explicitly covered under a custom licensing agreement.

Performance Metrics: Creative assets (such as CTR-optimised thumbnail layouts) are designed based on modern marketing trends. We cannot guarantee specific Click-Through-Rates (CTR) or viral metrics, which depend on platform placement and general audience behaviours.

3. AI and Automation Service Boundaries & Liability Limits

We engineer intelligent automation scripts, custom AI agents, document processing pipelines, and chatbot interfaces utilising various cloud services and third-party APIs (e.g. OpenAI, Anthropic, Make, n8n, Zapier):

Integration Stability: While we construct highly resilient error handling and queue diagnostics, third-party API availability, rate limits, and service updates are entirely beyond our control. GREEN LOGIC STUDIO LTD is not liable for operational failures or database synchronisation delays caused by third-party service deprecations.

AI Output Responsibility:Large Language Models are capable of producing inaccurate or unverified responses ("hallucinations"). Clients must establish appropriate human-in-the-loop review policies for critical, customer-facing, or legally binding automated decision workflows. GREEN LOGIC STUDIO LTD is not liable for damages or legal disputes arising from automated AI agent output.

4. Enterprise-Grade Infrastructure Service Level Agreements

For clients utilizing our managed VPS hosting, domain management, and Managed Database configurations:

Uptime Guarantee: We target a 99.9% uptime SLA for all core web hosting and database instances. Regular security maintenance and system updates are scheduled to occur during low-traffic periods, with clients notified at least 48 hours in advance.

Backups and Uptime Liability: While we establish automatic backup procedures under our standard hosting frameworks, clients are responsible for maintaining secondary backups of operational customer databases unless explicitly covered under an active 24/7 Priority Support contract. GREEN LOGIC STUDIO LTD is not liable for data loss caused by upstream cloud network failures, hardware outages, or malicious security intrusion events.

5. Payments, Terminations and Governing Law

Invoices are payable within 14 days of issuance, unless otherwise agreed in writing. Either party may terminate a service agreement with 30 days written notice. Upon termination, client access to staging hosts and temporary developer databases will be discontinued.

These Terms and Conditions, and any project-specific contracts, are governed and construed in accordance with the laws of England & Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
